Terms of Service for Moonnight — moonnightapp.com

These Terms of Service ("Terms") are a legally binding agreement between you ("User", "you") and Happy Melon Games Corp ("Moonnight", "Company", "we", "us", or "our"), governing your access to and use of moonnightapp.com and all associated applications and services (collectively, the "Service").

BY CREATING AN ACCOUNT, CLICKING "SIGN IN WITH GOOGLE", OR OTHERWISE ACCESSING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Definitions

  • "Service" means moonnightapp.com, all subdomains (e.g., focustimer.moonnightapp.com), and all apps, features, and content therein.
  • "Account" means the user account created when you authenticate via Google OAuth.
  • "Subscription" means a paid or trial recurring plan for access to a specific app.
  • "Content" means any data, text, or information you input into the Service.
  • "Trial" means the 7-day free access period preceding paid billing.

2. Eligibility and Account Registration

  • You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this requirement.
  • You authenticate via Google OAuth. You are responsible for maintaining control of your Google account and for all activity that occurs under your Moonnight account.
  • You agree to provide accurate information and to update it as needed.
  • You may not create multiple accounts to abuse trial periods. Each person is entitled to one free trial per application. Abuse of trial periods will result in immediate account termination without refund.
  • You may not share your account credentials or allow others to access the Service through your account.

3. Subscriptions, Billing, and Payments

3.1 Free Trial

Each app offers a 7-day free trial. A valid payment method must be on file to start a trial. You will not be charged during the trial period.

3.2 Automatic Renewal

At the end of your trial, your subscription automatically converts to a paid plan at the price displayed at sign-up (currently $9.99/month per app). By starting a trial, you authorize us to charge your payment method on a recurring basis.

3.3 Billing

Subscriptions are billed monthly in advance. Billing is handled by Stripe. We never store your full payment card details. All payments are subject to Stripe's terms at stripe.com/legal.

3.4 Taxes

Prices are exclusive of applicable taxes. You are responsible for all applicable taxes.

3.5 Price Changes

We may change subscription prices with 30 days' advance notice by email or in-app notice. Continued use after the effective date constitutes acceptance of the new price.

3.6 Cancellation

You may cancel your subscription at any time via the billing portal in your account settings. Cancellation takes effect at the end of the current billing period. You retain access until then. No partial-period refunds are issued.

3.7 Refund Policy

We do not offer refunds except where required by applicable law. If you believe you were charged in error, contact us at support@moonnightapp.com within 30 days of the charge.

3.8 Failed Payments

If a payment fails, we will attempt to notify you by email. Continued failure to pay may result in suspension or termination of your subscription and access to the Service.

4. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law.
  • Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service.
  • Circumvent, disable, or interfere with security features of the Service, including access controls or trial limitations.
  • Use automated scripts, bots, scrapers, or crawlers to access the Service without our prior written permission.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Transmit viruses, malware, or any other malicious or disruptive code.
  • Attempt to gain unauthorized access to any portion of the Service or any other accounts.
  • Use the Service to harass, abuse, or harm any person.
  • Resell, sublicense, or offer the Service as a white-label product without written authorization.

We reserve the right to suspend or terminate accounts that violate this policy, without notice and without refund.

5. Intellectual Property

5.1 Our Property

All content, software, code, design, trademarks, logos, and materials comprising the Service are owned by Happy Melon Games Corp or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership to you.

5.2 Your License

Subject to your compliance with these Terms and timely payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes during your active subscription.

5.3 Your Content

You retain ownership of any content you input into the Service. By using the Service, you grant us a limited, worldwide, royalty-free license to process your content solely to provide the Service to you. We do not use your content to train AI models or for any purpose beyond operating the Service.

5.4 Feedback

If you provide feedback or suggestions, you grant us the right to use such feedback without restriction and without compensation to you.

6. Third-Party Services

The Service integrates with third-party services including Stripe (payments), Google (authentication), Resend (email), Supabase (database), and Vercel (hosting). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of these third-party services.

The Service may contain links to third-party websites. We do not endorse and are not responsible for any third-party content or services.

7. Service Availability and Modifications

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee:

  • That the Service will be uninterrupted, timely, secure, or error-free.
  • That any defects will be corrected.
  • That the Service or its servers are free of viruses or other harmful components.

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOONNIGHT AND HAPPY MELON GAMES CORP EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(A) IN NO EVENT SHALL HAPPY MELON GAMES CORP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(B) OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (I) THE TOTAL AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Happy Melon Games Corp and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or inability to use the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the Service.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact us at support@moonnightapp.com and attempt to resolve the dispute informally. Both parties agree to negotiate in good faith for at least 30 days before pursuing formal action.

11.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the BC International Commercial Arbitration Centre (BCICAC) under its Domestic Commercial Arbitration Rules, conducted in English on an individual basis. The arbitration shall take place in Vancouver, British Columbia, Canada. Judgment on the award may be entered in any court of competent jurisdiction.

EXCEPTIONS: Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

11.3 Class Action Waiver

YOU AND HAPPY MELON GAMES CORP EACH AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

11.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. For any claims not subject to arbitration, you consent to exclusive jurisdiction in the courts located in Vancouver, British Columbia, Canada.

12. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, power outages, internet service provider failures, or governmental actions.

13. Term and Termination

These Terms remain in effect while you use the Service.

We may terminate or suspend your account at any time, with or without notice, if you violate these Terms, engage in fraudulent activity, fail to pay fees, or for any other reason at our discretion.

You may terminate your account at any time by contacting support@moonnightapp.com.

Upon termination:

  • Your right to access the Service ceases immediately.
  • Any data you have stored may be deleted after 30 days.
  • Accrued payment obligations survive termination.
  • Sections 5, 8, 9, 10, 11, and 14 survive termination.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Moonnight regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.

14.5 Notices

We may provide notices via email to the address on your account or via prominent posting on the Service. You may provide notices to us at support@moonnightapp.com.

15. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 14 days' notice by email or in-app notification before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
